General terms and conditions of sale

 

1. ORDERS AND QUOTATIONS

1.1. Orders shall be submitted exclusively via email to the Customer Service Department at pedidos@labclinics.com. This email address is also to be used for order-related inquiries and tracking.

1.2. To process orders correctly, the Buyer must include the following information:

  • Billing details (company name, VAT/CIF number, billing address).
  • Delivery address (including department/lab, contact person and phone number, and any other relevant details).
  • Purchase order number (if required for invoicing).
  • Product reference (specify format or volume if needed).
  • Quantity requested.
  • Price per product or quotation number (previously agreed with sales representative).
  • Indication of applied discount or promotion.
  • DIR3 codes (for electronic invoicing, if applicable).
  • Project reference (if required for invoicing).

LABCLINICS S.A. reserves the right not to process any orders missing required information.

1.3. Requests for quotations must be sent via email to the following addresses, depending on the geographical area:

2. INVOICING AND PAYMENT

2.1. Payments must be made exclusively by bank transfer. Credit or debit card payments are not accepted.

2.2. The first order from new customers must be prepaid via pro forma invoice. Subsequent orders may be paid within 30 days of receiving the invoice.

2.3. LABCLINICS S.A. reserves the right to request credit risk coverage through a specialized insurer. The insurer may contact the customer’s accounting/finance department to obtain necessary information.

If coverage is denied, the customer must prepay the order before it is processed.

2.4. Pro forma invoices shall be valid for a period of six (6) months from the date of issue.

3. SHIPPING AND DELIVERY FEES

3.1. LABCLINICS only delivers to Spain and Portugal.

3.2. Orders under THREE HUNDRED EUROS (€300.00) (excluding VAT) are subject to a THIRTY EURO (€30.00) shipping fee.

3.3. For Distributors:

  • Distributors must arrange their own pickup.
  • LABCLINICS will send an email once the goods are ready for collection.
  • Pickup hours are from 7:30 a.m. to 2:30 p.m., Monday through Thursday.
  • Refrigerated materials will not be delivered on Fridays to prevent deterioration over the weekend.
  • If LABCLINICS agrees to ship the goods on behalf of the distributor, a €30.00 shipping fee will apply regardless of the order amount.

4. PRODUCT SUPPLY

4.1. Products are subject to availability.

LABCLINICS does not guarantee and shall not be held liable if a product is out of stock or discontinued. In such cases, LABCLINICS may offer the customer alternative products of similar specifications and value.

If the customer is not interested in the substitute, the order will be canceled, or a refund will be issued if the product was prepaid.

4.2. LABCLINICS is not liable for delivery delays due to causes beyond its control, such as transport issues, production delays, or material shortages.

If full delivery is not possible, LABCLINICS will duly inform the customer and will not be obligated to deliver the affected goods.

5. ORDER CANCELLATION AND RETURN POLICY

5.1. The Customer Service Department is responsible for managing claims and return/replacement requests. Requests must be sent to pedidos@labclinics.com with a brief explanation. If the material was already delivered, the delivery note must be attached.

5.2. Returns:

Returns will be accepted if the purchase was made within the last 15 calendar days and the product is unopened. sealed, and in perfect condition. Must meet one of the following conditions:

  • If not due to a quality or service defect attributable to LABCLINICS, a refund of 80% of the value may be issued.
  • If due to a defect attributable to LABCLINICS, the product will be collected free of charge within 8 calendar days and refunded or replaced accordingly. Returns of low-turnover products or those that may not be preserved under optimal conditions are not accepted.
  • If the reason for return is attributable to the customer, LABCLINICS may refund 80% of the invoice value. Additional charges may apply if costs are incurred from the manufacturer. In the event of product defects not caused by LABCLINICS (e.g., incorrect references or quantities by the customer), LABCLINICS reserves the right to accept or deny the return or credit.

If accepted, return shipping costs are the customer’s responsibility.

  • Returns are not accepted after 30 days from delivery.
  • Customized material is not returnable. Cancellation before delivery is subject to manufacturer approval.
  • Reimbursement will only be made after material is received and validated by LABCLINICS.
  • Orders may be canceled without charge within 24h of confirmation.

5.3. Return Shipping Costs:

  • If attributable to LABCLINICS: return shipping is free, provided products are sealed, in original packaging and stable.
  • If not attributable: the customer bears return shipping costs, or €30 + VAT will be charged. LABCLINICS may arrange the return transport and invoice the associated costs to the customer.
  • Refrigerated material returns must maintain the cold chain. LABCLINICS reserves the right to collect it and charge the customer. If customer ships it back, it must be within 8 calendar days.

5.4. Technical Quality Defects:

Quality issues identified after product use will be handled by the Technical Department (tecnic@labclinics.com), who will liaise with the manufacturer. Customers must provide full traceability and data. The outcome is subject to the manufacturer’s final decision, with LABCLINICS excluded from liability. 6. DATA PROTECTION

Personal data will be processed according to Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018, ensuring confidentiality and exclusive use for commercial and contractual management.

7. JURISDICTION

Any dispute arising from the interpretation or enforcement of these general terms shall be submitted to the jurisdiction of the Courts of Barcelona, with express waiver of any other jurisdiction.
